Terms of Service
Last updated November 5, 2026
Effective November 5, 2026 · Version 2026-11-05
These Terms of Service (Terms) govern the websites, software tools and related services (Service) operated by Vidda Studio LLC, a Wyoming limited liability company (Vidda, we, us). They apply to individual and business customers. Our contact details appear in section 17.
By selecting a sign-in or purchase control that expressly refers to these Terms, or otherwise expressly accepting them, you agree to this agreement. If you act for an organization, you confirm that you have authority to bind it. Our Privacy Policy explains personal information handling; acknowledging that notice is not consent to every type of processing.
Mandatory consumer and data-protection rights remain available. A person buying mainly outside their trade, business or profession may be a consumer regardless of the label selected at checkout.
1. Eligibility and accounts
The Service is for people aged 18 or older who have capacity to contract. Provide accurate account and billing information and protect your sign-in access. Tell us promptly if you suspect unauthorized use. You are responsible for activity you authorize and for losses attributable to your failure to take reasonable account-security precautions; this does not make you responsible for a security failure attributable to us.
2. Tools and the purchase description
Merch Kit provides image-editing tools that process source images on your device. Mind Pencil provides AI interviews, article drafts and optional paid rewrites. Video Essay Director provides script breakdowns, generated frames and short clips purchased with tool-specific units. We supply software-generated assistance, not professional editorial, legal, medical or financial advice.
The purchase page identifies the product, price, included features or units, duration and material limits. It forms part of the agreement for that order. These are separate tools; buying one does not buy access to all tools. We may improve the Service, but changes will not retrospectively reduce an existing purchase's agreed quantity, duration or refund protection. Section 11 applies if we cannot continue providing what you bought.
3. One-time payments, prices and taxes
Current purchases are one-time payments. They do not automatically renew, and buying more time or another pack requires a new purchase. Catalog base prices are in US dollars. Before payment, checkout displays the amount, currency, applicable taxes and any currency-conversion terms. You authorize only the payment you confirm there. Your bank or payment provider may separately charge fees under its own agreement.
Access or units are granted after payment is confirmed. Delayed payment methods may take longer. A failed, duplicate or incomplete payment does not remove remedies under our Refund Policy. Keep the order confirmation and reference. Entitlements belong to the purchasing account unless the purchase description expressly permits otherwise.
4. Stripe Managed Payments and Link
For transactions using Stripe Managed Payments, the Stripe entity identified at checkout or on the receipt acts as merchant of record. Vidda remains the seller and provider of the product. Stripe and Link handle transaction services, including payment processing, receipts, certain tax matters, transaction support and disputes, under their applicable terms. Product support remains available from Vidda.
The payment terms presented at checkout apply separately to the transaction. Any additional remedies under applicable law or the applicable Stripe Managed Payments refund policy remain available, including where that policy is more favorable than our commercial refund rules. This is not an unconditional 60-day money-back guarantee. Contact Link through your receipt or its support service for transaction assistance.
5. Permission to use the Service
Subject to this agreement and payment where required, we grant you a limited, non-exclusive, non-transferable right to use the Service for lawful personal or business purposes during the applicable access period. You may use your lawful outputs commercially. The restriction on reselling or sublicensing access to our software does not prohibit selling your own lawful work that incorporates outputs.
You may not resell the Service itself, share paid access beyond the purchased scope, remove access controls or use our systems to provide a competing hosted copy, except with our written permission or where applicable law permits. Legal rights that cannot be restricted, including applicable interoperability rights, are preserved.
6. Your inputs and our limited processing permission
You retain your rights in content you submit, including text, scripts, recordings and images (Inputs). You give us a non-exclusive, worldwide, royalty-free permission to host, copy, process, transmit and display Inputs only as necessary to provide the features you request, provide necessary support, maintain security and prevent abuse, and comply with legal obligations. We may engage service providers for those limited purposes under appropriate obligations. We do not use your Inputs or outputs to train or fine-tune AI models or for general human product-improvement review.
You must have the rights and lawful authority needed to submit Inputs and have them processed. This includes rights concerning other people's voices, likenesses, personal information, confidential material and intellectual property. Do not submit unlawfully recorded conversations or regulated sensitive data that the Service is not designed to handle. A content license does not replace a lawful basis for processing personal information.
The processing permission ends when the content is deleted from our systems, except for copies retained as described in the Privacy Policy, legal obligations and technical backup limitations. It does not authorize unrelated public display or advertising use of your content.
7. Outputs and intellectual property
As between you and Vidda, to the extent permitted by law, we assign to you any rights we own in outputs generated specifically for you, excluding our Service, branding and identified third-party materials. You may use those outputs for lawful commercial purposes subject to third-party rights. Lawful rights granted in delivered outputs do not end merely because your access period ends. A refund cancels the refunded access or unused units; it does not by itself revoke rights already granted in lawful delivered outputs.
AI output may not qualify for copyright, may resemble other outputs and may implicate third-party rights. We do not promise exclusivity, registrability or that every output is non-infringing. We and our licensors retain rights in the software, documentation and branding. Feedback you voluntarily send may be used to improve the Service, without a right to use confidential content or personal information beyond the Privacy Policy.
8. AI limitations and transparency
AI interviews and generation are automated. Outputs can contain errors, invented details, bias or material unsuitable for your purpose. Review names, dates, claims and permissions before publishing or relying on a result. A tool's draft or suggested film length is not a guarantee of factual accuracy, editorial approval or a finished film. AI disclaimers do not excuse failure to provide the purchased service as described.
Comply with applicable disclosure rules when publishing synthetic content, including required disclosures for deepfakes and certain public-interest publications. Do not remove legally required provenance or authenticity information to mislead others. Our own obligations as a service provider remain our responsibility; this provision does not transfer all AI compliance obligations to you.
9. Acceptable use and complaints
Do not use the Service for unlawful infringement, fraud, malware, unauthorized access, harassment, exploitation of children, non-consensual intimate imagery or unlawful impersonation. Do not disclose another person's protected information without lawful authority, interfere with service availability, harvest other users' information or deliberately circumvent safety controls.
Report suspected infringement, harmful content, account misuse or an incorrect safety block to hi@viddastudio.com. Include enough information to identify the issue, without sending unnecessary sensitive data. We may investigate and restrict the affected activity. Where appropriate, you may request review of a restriction.
10. Consumer rights and refunds
The Refund Policy distinguishes tool-specific commercial refunds from mandatory withdrawal, cancellation and remedies for non-delivery or non-conforming services. The commercial label 'not refundable' never overrides those rights or applicable Managed Payments remedies. An automated account eligibility message is only an assessment under our commercial rules; contact us for a statutory claim or service failure.
For EEA and UK consumers, any applicable 14-day withdrawal right is preserved unless all legal requirements for a particular exception have actually been met. These Terms alone do not obtain a waiver of that right. See the Refund Policy for how to withdraw and request a remedy.
11. Suspension, closure and discontinuation
We may restrict access when reasonably necessary to address material breach, non-payment, fraud, a legal requirement or a serious security risk. Where practicable and appropriate, we will explain the reason and provide an opportunity to resolve it. Immediate action may be necessary where notice would create harm or be unlawful. A good-faith exercise of statutory or payment-dispute rights is not by itself a reason to penalize you.
You may stop using the Service and request account closure. If our technical failure or decision to discontinue the Service prevents provision of a material part of a purchase, we will provide an appropriate remedy, which may include restoration, repeated work, or a full or proportionate refund for what was not provided. Where reasonably practicable, we will provide notice and an opportunity to export content before permanent closure. Legal and security restrictions may require different action. Unused paid rights are not automatically forfeited merely because we choose to discontinue a product.
12. Warranties and consumer protection
We will provide the Service with reasonable care and skill and as described in your purchase agreement. Applicable mandatory rights concerning digital content or digital services, including conformity, required updates, repair, repeat performance, price reduction or termination, are not excluded.
For business customers only, and to the extent permitted by law, the Service is otherwise provided as available and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted availability. This does not exclude our express purchase commitments or the remedies stated in this agreement.
13. Liability
Nothing limits liability that cannot lawfully be limited, including applicable liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or intentional or grossly negligent misconduct where exclusion is prohibited. Nothing limits statutory consumer remedies or amounts properly due as refunds.
For consumers, we are responsible for loss that is a reasonably foreseeable result of our breach or failure to use reasonable care and skill, subject to applicable law. We are not responsible for loss attributable to your unlawful use or failure to take reasonable steps to avoid loss, to the extent allowed by law. We do not impose the business liability cap below on consumers.
For business customers only, and subject to the exceptions above, neither party is liable for indirect or consequential loss, lost profits or lost business opportunities arising from this agreement. Vidda's aggregate liability is limited to the fees you paid for the affected Service during the 12 months before the event giving rise to the claim. This allocation does not reduce a non-excludable obligation to protect personal information.
14. Business customer indemnity
This section applies only if you use the Service in a business capacity. You will indemnify us against a third party's claim to the extent caused by your unlawful Inputs, unlawful use of outputs or material breach of these Terms. It does not cover a claim caused by our breach, negligence or misconduct. We must promptly notify you, allow you reasonable control of the defense and provide reasonable cooperation at your expense. You may not settle a claim in a way that admits fault for us or imposes non-monetary obligations on us without our consent, which will not be unreasonably withheld. We may participate at our own expense.
15. Governing law and disputes
Please first contact hi@viddastudio.com so we can try to resolve a concern. This is an invitation, not a prerequisite to exercising a legal remedy or contacting a regulator.
Wyoming law governs this agreement, except that a consumer retains the mandatory protections available under the law that applies to them. For business customers, the state courts in Sheridan County, Wyoming, or the federal courts in Wyoming with jurisdiction, have exclusive jurisdiction. Consumers may bring proceedings in any court available under mandatory applicable law, including their home courts where those rights apply. This agreement does not impose mandatory arbitration or a class-action waiver.
16. Changes, priority and other terms
Material changes will be notified by email or an appropriate in-service notice before they take effect where required. New pricing, reduced quantities or stricter refund rules apply only to future purchases unless you expressly agree otherwise. An existing order remains subject to the purchase terms and policy version agreed at purchase. Where renewed acceptance is required, we will request it; merely opening an account page is not a blanket agreement to retroactive changes.
Mandatory law takes priority. Applicable independent payment terms govern their transaction matters, including more favorable Managed Payments refund remedies. A specific order description or tool-specific term presented before purchase controls its subject over a conflicting general term. The Privacy Policy is a transparency notice and does not waive data-protection rights. The remaining provisions survive if a provision is unenforceable. No failure to enforce a term is a waiver. You may not transfer this agreement without consent; we may transfer it as part of a genuine business succession without reducing existing consumer rights. Clauses that by their nature should survive will survive closure.
